Terms & Conditions

These terms explain how this website may be used and the principles that apply when you inquire about or engage Metrixblue for services.

Effective date: August 12, 2026

Important: Website information is general. A project begins only after both parties agree to a written proposal, scope, price, payment schedule, and delivery plan.

1. Website Use

You may use this website to learn about Metrixblue, review services and work, and contact us about a potential project. You must not misuse the website, attempt unauthorized access, introduce harmful code, copy protected materials without permission, or interfere with normal operation.

Website content may be updated, corrected, or removed without notice. Availability of the website is not guaranteed at all times.

2. Service Inquiries

Submitting a contact form, sending a message, or requesting a quote does not create a client relationship or require either party to proceed. We may accept or decline an inquiry based on availability, fit, scope, timing, or other reasonable business considerations.

3. Project Scope and Deliverables

The agreed proposal or project agreement will define the deliverables, responsibilities, included services, revision limits, milestones, exclusions, and acceptance criteria. Requests outside that scope may require a revised timeline and additional fee.

Where these website terms differ from a signed project agreement, the signed agreement will control for that engagement.

4. Quotes and Pricing

Website prices and package information are general guidance unless clearly identified as a binding offer. Final pricing depends on confirmed requirements and will be stated in writing. Quotes may have an expiry date and may be revised if scope, assumptions, third-party costs, or timelines change.

5. Payments

Deposit amounts, milestone payments, payment methods, currencies, taxes, due dates, cancellation charges, refund eligibility, and any amounts identified as non-refundable are governed primarily by the applicable written proposal, project agreement, or invoice. Work may be scheduled after the required initial payment is received, and Metrixblue may pause delivery when an agreed payment is overdue.

Amounts already earned for completed or approved work may be non-refundable where the applicable agreement provides for that result, subject to applicable law. This section does not create a blanket no-refund policy or promise a refund where none has been agreed.

6. Revisions and Approvals

Included revision rounds and their scope will be stated in the project agreement. Feedback should be clear, consolidated, and supplied within agreed review periods. Additional rounds, conflicting direction, or major changes after approval may require a change order.

Client approval of a stage allows work to progress. Reopening an approved stage may affect cost and timing.

7. Client-Provided Materials

Clients are responsible for providing accurate content, instructions, access credentials, and approvals on time. By supplying text, images, logos, data, fonts, or other materials, the client confirms that they have the right to use them and authorize Metrixblue to use them for the project.

The client remains responsible for reviewing final content for factual, legal, regulatory, and industry-specific accuracy before publication.

8. Intellectual Property

Ownership and licensing terms are governed by the applicable written proposal or project agreement. Where that agreement provides for a transfer, ownership of final approved custom deliverables may transfer after full payment. Editable or source files are included, licensed, or transferred only when specifically stated in that agreement.

Unused concepts and proposals not selected as final deliverables remain with Metrixblue unless otherwise agreed. Metrixblue also retains its pre-existing tools, templates, reusable methods, internal processes, and general know-how.

Third-party fonts, stock media, plugins, themes, code libraries, templates, platform components, and other licensed assets remain subject to their own licenses. Metrixblue transfers or licenses only those rights it is legally permitted to provide.

9. Portfolio and Display Rights

Metrixblue may identify itself as the service provider and display completed, publicly released work in its portfolio, proposals, social channels, or award submissions only when that use is not restricted by a written agreement. Any NDA, confidentiality agreement, white-label agreement, or signed client or project agreement that limits portfolio or publicity use takes priority over these general website terms.

Metrixblue will not disclose confidential or non-public client information. Clients who require private, confidential, or white-label work should arrange those restrictions in writing before work begins.

10. Delivery Timelines

Delivery dates are reasonable estimates based on the approved scope, timely feedback, required access, and third-party availability. Delays caused by late materials, changed requirements, approval delays, platform outages, or events outside reasonable control may extend the schedule.

11. Third-Party Platforms and Services

Projects may rely on hosting companies, domain registrars, payment processors, app stores, marketplaces, software platforms, plugins, APIs, or other third parties. Their fees, policies, availability, approvals, and performance are outside Metrixblue's direct control unless expressly included in the written scope.

Clients are responsible for maintaining required third-party accounts and complying with provider terms.

12. Results and Warranties

Metrixblue aims to provide professional work consistent with the agreed scope. Business, marketing, ranking, traffic, sales, platform approval, or revenue outcomes depend on many factors and are not guaranteed unless a specific written warranty states otherwise.

13. Limitation of Liability

To the extent permitted by applicable law, Metrixblue will not be responsible for indirect, incidental, special, or consequential losses arising from website use, delayed client input, third-party services, or use of deliverables outside the agreed purpose. Any project-specific liability terms should be defined in the written agreement.

Nothing in these terms excludes rights or responsibilities that cannot lawfully be excluded.

14. Cancellation and Termination

Either party may end an engagement according to the cancellation and termination terms in the applicable written proposal or project agreement. That agreement will govern any notice requirements, refund eligibility, treatment of deposits and milestone payments, cancellation charges, committed third-party costs, and amounts identified as non-refundable.

On termination, amounts already earned for completed or approved work may remain payable and may be non-refundable where the agreement provides, subject to applicable law. Delivery, transfer, or usage rights may remain conditional on payment of outstanding amounts.

15. Governing Law

The governing law and dispute venue for a paid engagement should be identified in the applicable written proposal or project agreement. This website does not independently designate a governing jurisdiction.

16. Changes to These Terms

We may update these website terms when services, business practices, or legal requirements change. The effective date above identifies the current published version. Changes do not replace terms already agreed in a signed project agreement unless both parties agree in writing.
